By using this software application and the services, you agree to be bound by the terms of this license (the “Terms”).

Your relationship is with the Sika legal entity that granted you this software license (“Licensor”). The term “We” refers to the Licensor.

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms. Any dispute, controversy, or claim arising out of or in connection with these Terms, including the existence, validity, interpretation, performance, breach or termination thereof, shall be resolved exclusively by the ordinary courts of Geneva, Switzerland. The Parties hereby irrevocably submit to the exclusive jurisdiction of the Geneva courts and waive any objection to proceedings in such courts on the grounds of venue or inconvenient forum.

This software application and services are protected by copyright laws and international copyright treaties. The software application and services are licensed, not sold.

Subject to your compliance with the Terms and applicable law, we hereby grant you a non-exclusive, limited, revocable right for you to install, access and use the services and software that we make available to you, and that you license from us.

We remain the sole owner of all right, title, and interest in the services and software.

For additional terms and information that are specific to this software application and services, please refer to the Product Datasheet for this software application or services that are linked from this software application of service.

We may make changes to the Terms from time to time. We will notify you of any change to the Terms through this software application or service. Unless otherwise noted, the amended Terms will be effective immediately, and your continued use of our services and software confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our services and software.

We may, from time to time, modify and replace the features and functionalities, as well as the user interface, of the software and services. If such changes lead to a material degradation of the functionalities, you may terminate the license or service with immediate effect and we will pro-rata reimburse any fees that you may have paid in advance for the remaining service period.

We may suspend your use of the software and services, if we, at our sole but reasonable discretion, have deemed your use of the software or services to be fraudulent, abusive or outside the scope of the license granted herein.

We may revoke this license or service at any time by serving you notice or by terminating your use of the services and software.

We do not owe you any compensation for termination of license or services, except for pro-rate reimbursement of any fees that you may have paid in advance for the remaining service or license period.

For information about how we collect, use, share, or otherwise process information about you and your use of our services and software, please see our privacy policy that is linked from this software application or service.

Data Analyses means aggregated data related to customer and its software users use of the software, as well as data and information retained or compiled by Sika (or on Sika's behalf) by reviewing, using, processing, analyzing, transforming or storing data and information (which may include segments of customer data) for providing and/or improving the software or Sika's other product or service offerings. Furthermore, the software may incorporate analytics tools in order to optimize customer’s use and experience of the software. Notwithstanding anything to the contrary, Sika may also retain and compile Data Analyses by reviewing, using, processing, analyzing, transforming, and/or storing data and information (which may include segments of customer data) to provide and/or improve the software and Sika's other product and service offerings. For clarity, Data Analyses shall not be considered confidential information of the customer.   

THIS SOFTWARE APPLICATION, SERVICE AND THE RESULTS DERIVED FROM ITS UTILIZATION ARE INTENDED ONLY FOR USE BY PROFESSIONAL USERS WITH EX-PERT KNOWLEDGE IN THE AREA OF THE INTENDED APPLICATION. USERS MUST INDEPENDENTLY VERIFY THE RESULTS BEFORE ANY USE AND TAKE INTO AC-COUNT THE SITE AND APPLICATION CONDITIONS, REQUIREMENTS OF THE APPLICATION, PRODUCT DATA SHEET AND PRODUCT LITERATURE, TECHNICAL STATE OF THE ART AS WELL AS LOCAL APPLICABLE STANDARDS AND REGULATIONS.

With respect to the software application, service and results derived from its use, SIKA MAKES NO WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, MERCHANTABILITY OR FITNESS FOR ANY PURPOSE. THE SOFTWARE APPLICATION AND SERVICE ARE PROVIDED ON AN “AS-IS” BASIS AND SIKA EXPRESSLY DIS-CLAIMS ANY WARRANTIES WITH RESPECT TO THE SOFTWARE APPLICATION, SERVICE AND RESULTS DERIVED FROM ITS USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIKA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERM OR THE SOFTWARE APPLICATION AND SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE LIMITED TO, AT SIKA'S SOLE OPTION, EITHER: (A) RESUPPLYING THE SOFTWARE APPLICATION AND SERVICES; OR (B) REFUNDING THE FEES PAID BY CUSTOMER FOR THE SOFTWARE APPLICATION AND SERVICES GIVING RISE TO THE CLAIM. THIS LIMITATION OF LIABILITY AND SOLE REMEDY PROVISION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

We recommend that you back up any data that is generated or stored in the software or services elsewhere regularly, even if the software or services provide storage and this functionality is enabled by the applicable software or services. Upon termination of the license or service we will delete any data that you may have stored in the software or service.

Sika shall not be liable for any consequential, punitive, incidental, exemplary, or special damages (including but not limited to loss of data, loss of business opportunity or loss of profit) arising out of the evaluation or use of the software application, service and results derived from its use.

Sika’s total liability in any matter arising out of or related to the Terms is limited to the aggregate amount that you paid for access to the software and services during the three-month period preceding the event giving rise to the liability.

The information, and, in particular, the recommendations relating to the application and end-use of Sika products, are given in good faith based on Sika's current knowledge and experience of the products when properly stored, handled and applied under normal conditions in accordance with Sika’s recommendations. In practice, the differences in materials, substrates and actual site conditions are such that no warranty in respect of merchantability or of fitness for a particular purpose, nor any liability arising out of any legal relationship whatsoever, can be inferred either from the results derived from the use of the software application, or from any written recommendations, or from any other advice offered. The user of the product must test the product’s suitability for the intended application and purpose. Sika reserves the right to change the properties of its products. The proprietary rights of third parties must be observed. All orders are accepted subject to our current terms of sale and delivery. Users must always refer to the most recent issue of the local Product Data Sheet for the product concerned, copies of which will be supplied on request.

Análise de Dados significa dados agregados relacionados ao uso do software pelo cliente e seus usuários de software, bem como dados e informações retidos ou compilados pela Sika (ou em nome da Sika) por meio da revisão, uso, processamento, análise, transformação ou armazenamento de dados e informações (que podem incluir segmentos de dados do cliente) para fornecer e/ou melhorar o software ou outras ofertas de produtos ou serviços da Sika. The present terms and conditions relate to this software application and the services (the “Software”). Please carefully read the following terms and conditions (once accepted, the “Terms”) before using the Software as these Terms govern your use of the Software and its content. By using the Software you agree with these terms and conditions, and furthermore are (i) representing that you have read and understand these terms and conditions, (ii) representing that you have the capacity and authority to enter into the Terms, (iii) intending the Terms to be the legal equivalent of a signed, written contract, and (iv) accepting these terms and conditions and agreeing to be legally bound by them. If these terms and conditions are not acceptable to you, please discontinue use of the Software.

We may make changes to the Terms from time to time. We will notify you of any change to the Terms through the Software. Unless otherwise noted, the amended Terms will be effective immediately, and your continued use of the Software confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using the Software.

Your relationship is with the Sika legal entity that is making the concerned software application and services available to you (“Licensor”). The term “We” refers to the Licensor and “you” and “Customer” refers to you and your users

The Software is protected by copyright laws and international copyright treaties. We remain the sole owner of all right, title, and interest in the Software. The software application and services are licensed, not sold. Subject to your compliance with the Terms and applicable law, we hereby grant you a non-exclusive, limited, non-transferable, revocable right for you to install, access and use the services and software that we make available to you, and that you license from us.

You acknowledge and agree that all portions of this Software, including all content, information, materials, tools, results, site design, text, graphics, HTML and other code or software, and the selection and arrangement of all such material (collectively “Content”), is owned by Sika or its content providers and is protected by copyright and other intellectual property laws. You further acknowledge and agree that this Software contains data and information of a proprietary nature. You agree not to use this Software (including all or any part of the Content) for any purpose other than as set forth in these Terms. To the extent you provide any feedback to Sika regarding the Software, Sika shall have an exclusive, royalty-free, fully paid up, worldwide, perpetual and irrevocable license to incorporate the Feedback into any of its current or future products, technologies or services and use same for any purpose all without further compensation to you and without your approval. You agree that all such Feedback shall be deemed to be non-confidential. Further, you warrant that your feedback is not subject to any license terms that would purport to require Sika to comply with any additional obligations with respect to any Fundata current or future products, technologies or services that incorporate any feedback.

If you register for a username in relation to this Software, you agree that you are solely responsible for maintaining the confidentiality and security of that username and your password, and you are responsible for all acts and/or omissions that occur under the authority of your username. If you have reason to believe that there is any unauthorized use of your username or any other breach of security related to the site, you are required to immediately notify Sika.

For additional terms and information that are specific to the Software, please refer to the product datasheet linked from this software application of service.

You shall retain ownership of all data and information input into the Software by yourself or by your users (“Input Data”). Customer hereby grants Sika a non-exclusive, royalty-free, worldwide license to use, reproduce, process, and store Input Data for the purposes of providing, maintaining, supporting, and improving the Software and Sika’s other products or service offerings.

The Software may generate data, reports, results, insights, or other outputs based on Input Data and/or the Customer’s use of the Software (“Output Data”). Sika retains ownership of the Output Data and hereby grants Customer is granted a royalty-free, non-exclusive, worldwide license to use the Output Data for its internal business purposes.

“Aggregated Data” means data that is de-identified and aggregated, relating to Customer’s or its users’ use of the Software. Aggregated Data may be created by Sika (or on its behalf) through reviewing, using, processing, analyzing, transforming, or storing Input Data or related information. Aggregated Data may be used by Sika to provide, maintain, support, and improve the Software and/or Sika’s other product or service offerings. For clarity, Aggregated Data shall not be considered confidential information of the Customer.

The Software may also include or integrate analytics tools to monitor and optimize Customer’s use and experience of the Software.

THIS SOFTWARE THE OUTPUT DATA ARE INTENDED ONLY FOR USE BY PROFESSIONAL USERS WITH EXPERT KNOWLEDGE IN THE AREA OF THE INTENDED APPLICATION. CUSTOMERS AND THEIR USERS MUST INDEPENDENTLY VERIFY THE RESULTS BEFORE ANY USE AND TAKE INTO ACCOUNT THE SITE AND APPLICATION CONDITIONS, REQUIREMENTS OF THE APPLICATION, PRODUCT DATA SHEET AND PRODUCT LITERATURE, TECHNICAL STATE OF THE ART AS WELL AS LOCAL APPLICABLE STANDARDS AND REGULATIONS.

With respect to the Software and Output Data, SIKA MAKES NO WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, MERCHANTABILITY OR FITNESS FOR ANY PURPOSE. 当社は、準拠法が許容する範囲において、いつでも本条件を変更することができます。当社は、このソフトウェアまたはサービスを通じて、本条件の変更につき貴社に通知します。特に断りのない限り、修正された契約条項は直ちに有効となり、当社のサービスおよびソフトウェアの継続的な使用により、貴社が変更を受け入れたものとみなします。変更後の条件に同意しない場合は、当社のサービスおよびソフトウェアの使用を中止しなければなりません。

当社は、随時、ソフトウェアおよびサービスの特徴および機能、ならびにユーザー・インターフェースを変更し、置き換えることができます。そのような変更が機能の重大な低下につながる場合、貴社は、直ちにソフトウェアまたはサービスの利用を終了することができ、当社は、貴社が残りのサービス期間について前払いした料金を按分で弁済します。

当社は、当社が専ら当社の合理的な裁量により、ソフトウェアまたはサービスの貴社による使用が詐欺的、濫用的または本契約で付与されるライセンスの範囲外であるとみなした場合、ソフトウェアおよびサービスの貴社による使用を停止することができます。

当社は、貴社に通知することにより、または貴社によるサービスおよびソフトウェアの使用を終了することにより、いつでもこのソフトウェアまたはサービスの利用を取り消すことができます。

当社は、貴社に対して、ソフトウェアまたはサービスの終了に対するいかなる補償義務も負いません。ただし、残りのサービスまたはソフトウェアの使用期間について貴社が前払いした料金の比例払い戻しを除きます。

貴社に関する情報の収集、使用、共有またはその他処理方法、ならびに当社のサービスおよびソフトウェアの使用に関する情報については、このソフトウェアまたはサービスからリンクされた当社のプライバシーポリシーをご参照ください。

データ分析とは、貴社がソフトウェアを使用したことによる集計データ、ならびにソフトウェアまたは当社のその他の製品またはサービスの提供を提供または改善するために、データおよび情報(顧客データのセグメントを含む場合があります)をレビュー、使用、処理、分析、変換または保存することにより、当社が(または当社に代わって)保持または編集したデータおよび情報を意味します。さらに、ソフトウェアは、貴社のソフトウェアの使用および経験を最適化するために、分析ツールを組み込むことができます。これと異なるいかなる規定にもかかわらず、当社はまた、ソフトウェアおよび当社のその他の製品およびサービスの提供を提供および/または改善するために、データおよび情報(顧客データのセグメントを含む場合があります)を検討、使用、処理、分析、変換および/または保管することにより、データ分析を保持し、収集することができます。明確にするために記載すると、データ分析は、顧客の秘密情報とはみなされません。

ソフトウェア、サービスおよびその使用から得られる結果に関して、当社は、いかなる目的のための正確性、信頼性、完全性、商品性または適合性の保証も行いません。このソフトウェアおよびサービスは、現状有姿で提供され、当社は、このソフトウェア、サービスおよびその使用から得られた結果に関して、いかなる保証も明示的に否認します。

ソフトウェアまたはサービスがストレージを提供し、該当するソフトウェアまたはサービスによってこの機能が有効化されている場合でも、ソフトウェアまたはサービスで生成または保存されるデータは定期的にバックアップすることをお勧めします。ライセンスまたはサービスが終了すると、ソフトウェアまたはサービスに保存されているデータはすべて削除されます。

The applicable law is the law of the jurisdiction of the contracting (license granting) Sika entity.

This software application and services are protected by copyright laws and international copyright treaties. The software application and services are licensed, not sold.

Subject to your compliance with the Terms and applicable law, we hereby grant you a non-exclusive, limited, revocable right for you to install, access and use the services and software that we make available to you, and that you license from us.

We remain the sole owner of all right, title, and interest in the services and software.

For additional terms and information that are specific to this software application and services, please refer to the Product Datasheet for this software application or services that are linked from this software application of service.

We may make changes to the Terms from time to time. We will notify you of any change to the Terms through this software application or service. Unless otherwise noted, the amended Terms will be effective immediately, and your continued use of our services and software confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our services and software.

We may, from time to time, modify and replace the features and functionalities, as well as the user interface, of the software and services. If such changes lead to a material degradation of the functionalities, you may terminate the license or service with immediate effect and we will pro-rata reimburse any fees that you may have paid in advance for the remaining service period.

We may suspend your use of the software and services, if we, at our sole but reasonable discretion, have deemed your use of the software or services to be fraudulent, abusive or outside the scope of the license granted herein.

We may revoke this license or service at any time by serving you notice or by terminating your use of the services and software.

We do not owe you any compensation for termination of license or services, except for pro-rate reimbursement of any fees that you may have paid in advance for the remaining service or license period.

For information about how we collect, use, share, or otherwise process information about you and your use of our services and software, please see our privacy policy that is linked from this software application or service.

Data Analyses means aggregated data related to customer and its software users use of the software, as well as data and information retained or compiled by Sika (or on Sikas' behalf) by reviewing, using, processing, analyzing, transforming or storing data and information (which may include segments of customer data) for providing and/or improving the software or Sika's other product or service offerings. Furthermore, the software may incorporate analytics tools in order to optimize customer’s use and experience of the software. Notwithstanding anything to the contrary, Sika may also retain and compile Data Analyses by reviewing, using, processing, analyzing, transforming, and/or storing data and information (which may include segments of customer data) to provide and/or improve the software and Sika's other product and service offerings. For clarity, Data Analyses shall not be considered confidential information of the customer.

THIS SOFTWARE APPLICATION, SERVICE AND THE RESULTS DERIVED FROM ITS UTILIZATION ARE INTENDED ONLY FOR USE BY PROFESSIONAL USERS WITH EXPERT KNOWLEDGE IN THE AREA OF THE INTENDED APPLICATION. USERS MUST INDEPENDENTLY VERIFY THE RESULTS BEFORE ANY USE AND TAKE INTO ACCOUNT THE SITE AND APPLICATION CONDITIONS, REQUIREMENTS OF THE APPLICATION, PRODUCT DATA SHEET AND PRODUCT LITERATURE, TECHNICAL STATE OF THE ART AS WELL AS LOCAL APPLICABLE STANDARDS AND REGULATIONS.

With respect to the software application, service and results derived from its use, SIKA MAKES NO WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, MERCHANTABILITY OR FITNESS FOR ANY PURPOSE. We recommend that you back up any data that is generated or stored in the software or services elsewhere regularly, even if the software or services provide storage and this functionality is enabled by the applicable software or services. Upon termination of the license or service we will delete any data that you may have stored in the software or service.

Sika shall not be liable for any consequential, punitive, incidental, exemplary, or special damages (including but not limited to loss of data, loss of business opportunity or loss of profit) arising out of the evaluation or use of the software application, service and results derived from its use.

Sika’s total liability in any matter arising out of or related to the Terms is limited to the aggregate amount that you paid for access to the software and services during the three-month period preceding the event giving rise to the liability.

The information, and, in particular, the recommendations relating to the application and end-use of Sika products, are given in good faith based on Sika's current knowledge and experience of the products when properly stored, handled and applied under normal conditions in accordance with Sika’s recommendations. In practice, the differences in materials, substrates and actual site conditions are such that no warranty in respect of merchantability or of fitness for a particular purpose, nor any liability arising out of any legal relationship whatsoever, can be inferred either from the results derived from the use of the software application, or from any written recommendations, or from any other advice offered. The user of the product must test the product’s suitability for the intended application and purpose. Sika reserves the right to change the properties of its products. The proprietary rights of third parties must be observed. All orders are accepted subject to our current terms of sale and delivery. Users must always refer to the most recent issue of the local Product Data Sheet for the product concerned, copies of which will be supplied on request.

Door deze softwaretoepassing en diensten te gebruiken, gaat u akkoord met de voorwaarden van deze licentie (de "Voorwaarden") en bent u daaraan gebonden.

U hebt een relatie met de juridische entiteit van Sika die u deze softwarelicentie heeft verleend ('Licentiegever'). De term "Wij" verwijst naar de Licentiegever.

Het toepasselijke recht is het recht van het rechtsgebied van de contracterende (licentieverlenende) Sika-entiteit: in dit geval het Nederlandse recht.

Deze softwaretoepassing en -diensten worden beschermd door auteursrechtwetten en internationale auteursrechtverdragen. De softwaretoepassing en -diensten worden in licentie gegeven, niet verkocht.

Op voorwaarde dat u zich houdt aan de Voorwaarden en de toepasselijke wetgeving, verlenen wij u hierbij een niet-exclusief, beperkt, herroepbaar recht om de software en diensten die wij u ter beschikking stellen en waarvoor u een licentie van ons in licentie geeft, te installeren, te openen en te gebruiken.

Wij blijven de enige eigenaar van alle rechten, aanspraken en belangen in de software en diensten.

Voor aanvullende voorwaarden en informatie die specifiek zijn voor deze softwaretoepassing en diensten, verwijzen wij u naar het productgegevensblad voor deze softwaretoepassing of diensten die zijn gekoppeld vanuit deze softwaretoepassing of diensten.

Wij kunnen van tijd tot tijd wijzigingen aanbrengen in de Voorwaarden. Wij zullen u via deze softwaretoepassing of -diensten op de hoogte stellen van elke wijziging in de Voorwaarden. Tenzij anders vermeld, zijn de gewijzigde Voorwaarden onmiddellijk van kracht en bevestigt uw voortgezet gebruik van onze software en diensten dat u de wijzigingen accepteert. Als u niet akkoord gaat met de gewijzigde Voorwaarden, moet u stoppen met het gebruik van onze software en diensten.

Wij kunnen van tijd tot tijd de kenmerken en functionaliteiten, evenals de gebruikersinterface, van de software en diensten wijzigen en vervangen. Als dergelijke wijzigingen leiden tot een wezenlijke verslechtering van de functionaliteiten, kunt u de licentie of dienst met onmiddellijke ingang beëindigen en zullen wij alle kosten die u mogelijk vooraf hebt betaald voor de resterende serviceperiode naar rato vergoeden.

Wij kunnen uw gebruik van de software en diensten opschorten als wij, naar eigen goeddunken, uw gebruik van de software of diensten hebben beschouwd als frauduleus, beledigend of buiten het bereik van de hierin verleende licentie.

Wij kunnen deze licentie of dienst op elk gewenst moment intrekken door u hiervan op de hoogte te stellen of door uw gebruik van de software en diensten te beëindigen.

Wij zijn u geen enkele vergoeding verschuldigd voor beëindiging van de licentie of diensten, met uitzondering van een evenredige vergoeding van eventuele kosten die u mogelijk vooraf hebt betaald voor de resterende dienst- of licentieperiode.

Voor informatie over hoe wij informatie over u en uw gebruik van onze software en diensten verzamelen, gebruiken, delen of anderszins verwerken, verwijzen wij u naar ons privacybeleid dat is gekoppeld aan deze softwaretoepassing of -dienst.

Gegevensanalyse betekent dat samengevoegde gegevens met betrekking tot het gebruik van de software door de klant en zijn softwaregebruikers, evenals gegevens en informatie die door Sika (of namens Sika) worden bewaard of verzameld door het beoordelen, gebruiken, verwerken, analyseren, transformeren of opslaan van gegevens en informatie (die segmenten van klantgegevens kunnen bevatten) voor het leveren en/of verbeteren van de software of het andere product- of dienstenaanbod van Sika. Bovendien kan de software analysetools bevatten om het gebruik en de ervaring van de software door de klant te optimaliseren. Ongeacht andersluidende bepalingen, kan Sika ook gegevensanalyses bewaren en samenstellen door gegevens en informatie (die segmenten van klantgegevens kunnen bevatten) te bekijken, te gebruiken, te verwerken, te analyseren, te transformeren en/of op te slaan om de software en het andere product- en dienstenaanbod van Sika te leveren en/of te verbeteren. Voor alle duidelijkheid: gegevensanalyses worden niet beschouwd als vertrouwelijke informatie van de klant.

DEZE SOFTWARETOEPASSING, DIENST EN DE RESULTATEN DIE DAARUIT VOORTVLOEIEN, ZIJN UITSLUITEND BEDOELD VOOR GEBRUIK DOOR PROFESSIONELE GEBRUIKERS MET DESKUNDIGE KENNIS OP HET GEBIED VAN DE BEOOGDE TOEPASSING. GEBRUIKERS MOETEN DE RESULTATEN ONAFHANKELIJK VERIFIËREN VOORDAT ZE DEZE GEBRUIKEN EN REKENING HOUDEN MET DE LOCATIE- EN TOEPASSINGSOMSTANDIGHEDEN, DE VEREISTEN VAN DE TOEPASSING, HET PRODUCTGEGEVENSBLAD EN DE PRODUCTLITERATUUR, DE TECHNISCHE STAND VAN DE TECHNIEK EN DE LOKAAL GELDENDE NORMEN EN VOORSCHRIFTEN.

MET BETREKKING TOT DE SOFTWARETOEPASSING, DE DIENSTEN EN DE RESULTATEN DIE VOORTVLOEIEN UIT HET GEBRUIK ERVAN, GEEFT SIKA GEEN GARANTIES MET BETREKKING TOT NAUWKEURIGHEID, BETROUWBAARHEID, VOLLEDIGHEID, VERKOOPBAARHEID OF GESCHIKTHEID VOOR WELK DOEL DAN OOK. DE SOFTWARETOEPASSING EN -DIENST WORDEN GELEVERD OP EEN "AS-IS"-BASIS EN SIKA WIJST UITDRUKKELIJK ALLE GARANTIES AF MET BETREKKING TOT DE SOFTWARETOEPASSING, DE DIENST EN DE RESULTATEN DIE VOORTVLOEIEN UIT HET GEBRUIK ERVAN.

Wij raden u aan om regelmatig elders een back-up te maken van alle gegevens die in de software of diensten worden gegenereerd of opgeslagen, zelfs als de software of diensten opslag bieden en deze functionaliteit wordt ingeschakeld door de betreffende software of diensten. Bij beëindiging van de licentie of dienst zullen wij alle gegevens verwijderen die u mogelijk in de software of diensten hebt opgeslagen.

Sika is niet aansprakelijk voor enige schade, waaronder maar niet beperkt tot gevolgschade, punitieve, incidentele, exemplarische of speciale schade (inclusief maar niet beperkt tot verlies van gegevens, verlies van zakelijke kansen of winstderving) die voortvloeit uit de evaluatie of het gebruik van de softwaretoepassing, diensten en resultaten die zijn afgeleid van het gebruik ervan.

De totale aansprakelijkheid van Sika in alle gevallen die voortvloeien uit of verband houden met de Voorwaarden is beperkt tot het totale bedrag dat u hebt betaald voor toegang tot de software en diensten gedurende de periode van drie maanden voorafgaand aan de gebeurtenis die aanleiding gaf tot de aansprakelijkheid.

De informatie, en in het bijzonder de aanbevelingen met betrekking tot de toepassing en het eindgebruik van Sika-producten, worden te goeder trouw gegeven op basis van Sika's huidige kennis van en ervaring met de producten wanneer ze op de juiste manier worden opgeslagen, gehanteerd en toegepast onder normale omstandigheden in overeenstemming met de aanbevelingen van Sika. In de praktijk zijn de verschillen in materialen, substraten en feitelijke omstandigheden op de locatie van dien aard dat geen enkele garantie met betrekking tot de verkoopbaarheid of geschiktheid voor een bepaald doel, noch enige aansprakelijkheid die voortvloeit uit welke rechtsbetrekking dan ook, kan worden afgeleid uit de resultaten die voortvloeien uit het gebruik van de softwaretoepassing, noch uit schriftelijke aanbevelingen, of van enig ander aangeboden advies. De gebruiker van het product moet de geschiktheid van het product voor de beoogde toepassing en het beoogde doel testen. Sika behoudt zich het recht voor om de eigenschappen van haar producten te wijzigen. De eigendomsrechten van derden moeten in acht worden genomen. Alle bestellingen worden geaccepteerd onder toepassing van  onze huidige verkoop- en leveringsvoorwaarden. Gebruikers moeten altijd de meest recente uitgave van het lokale productgegevensblad voor het betreffende product raadplegen, waarvan kopieën op verzoek worden verstrekt.

Sika® en de productnamen van Sika-producten waarnaar in deze softwaretoepassing wordt verwezen, zijn gedeponeerde handelsmerken van Sika AG. Alle andere producten en merknamen kunnen handelsmerken of gedeponeerde handelsmerken zijn van hun respectievelijke eigenaren.

The Parties hereby irrevocably submit to the exclusive jurisdiction of the Geneva courts and waive any objection to proceedings in such courts on the grounds of venue or inconvenient forum.

THIS LIMITATION OF LIABILITY AND SOLE REMEDY PROVISION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

We do not owe you any compensation for termination of license or services, except for pro-rate reimbursement of any fees that you may have paid in advance for the remaining service or license period.

You acknowledge and agree that any personal data collected, processed, transmitted, or stored in connection with your use of the software application will be handled in compliance with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and any other applicable data protection laws, as well as our [Privacy Notice](insert link to Privacy Notice). The software application collects and processes certain personal data, including but not limited to your email address, user name, password (required for login), customer information (if you are a natural person), optional location data, and any personal data voluntarily provided in comments or submissions. This data is processed to enable access control, manage user consent, analyze app usage to improve functionality, and provide technical support. We employ reasonable technical and organizational measures to protect personal data, but you are responsible for maintaining the confidentiality of your login credentials. By using the software application, you confirm that you have the necessary rights or permissions to provide any personal data and that your use of the software application complies with all applicable data protection laws. Data Analyses means aggregated data related to customer and its software users use of the software, as well as data and information retained or compiled by Sika (or on Sikas' behalf) by reviewing, using, processing, analyzing, transforming or storing data and information (which may include segments of customer data) for providing and/or improving the software or Sika's other product or service offerings. Furthermore, the software may incorporate analytics tools in order to optimize customer’s use and experience of the software. Notwithstanding anything to the contrary, Sika may also retain and compile Data Analyses by reviewing, using, processing, analyzing, transforming, and/or storing data and information (which may include segments of customer data) to provide and/or improve the software and Sika's other product and service offerings. For clarity, Data Analyses shall not be considered confidential information of the customer.

THIS SOFTWARE APPLICATION, SERVICE AND THE RESULTS DERIVED FROM ITS UTILIZATION ARE INTENDED ONLY FOR USE BY PROFESSIONAL USERS WITH EXPERT KNOWLEDGE IN THE AREA OF THE INTENDED APPLICATION. USERS MUST INDEPENDENTLY VERIFY THE RESULTS BEFORE ANY USE AND TAKE INTO ACCOUNT THE SITE AND APPLICATION CONDITIONS, REQUIREMENTS OF THE APPLICATION, PRODUCT DATA SHEET AND PRODUCT LITERATURE, TECHNICAL STATE OF THE ART AS WELL AS LOCAL APPLICABLE STANDARDS AND REGULATIONS.

Používaním tejto softvérovej aplikácie a služieb súhlasíte s tým, že budete viazaní podmienkami tejto licencie (ďalej len "podmienky").
Váš vzťah je so spoločnosťou Sika Slovensko spol. s r.o., so sídlom Pri majeri 21, 831 06 Bratislava - Vajnory, IČO: 31 359 710, zapísanou v Obchodnom registri Mestského súdu Bratislava III, oddiel Sro, vložka č. 5879/B, ktorá Vám udelila túto softvérovú licenciu ("Sika" alebo "Poskytovateľ licencie"). Pojem "my" sa vzťahuje na poskytovateľa licencie.

Rozhodným právom udeľovania licencie je právo jurisdikcie spoločnosti Sika.

Táto softvérová aplikácia a služby sú chránené autorskými zákonmi a medzinárodnými zmluvami o autorských právach. Softvérová aplikácia a služby sú licencované, nie predávané.

Za predpokladu, že budete dodržiavať podmienky a platné právne predpisy, Vám týmto udeľujeme nevýhradné, obmedzené a odvolateľné právo na inštaláciu, prístup a používanie služieb a softvéru, ktoré Vám sprístupňujeme a ktoré si od nás licencujete.

Zostávame výhradným vlastníkom všetkých práv, nárokov a podielov na službách a softvéri.

Ďalšie podmienky a informácie, ktoré sú špecifické pre túto softvérovú aplikáciu a služby, nájdete v produktovom liste pre túto softvérovú aplikáciu, alebo službách, ktoré sú prepojené priamo z tejto softvérovej aplikácie.

Podmienky môžeme z času na čas zmeniť. O každej zmene podmienok Vás budeme informovať prostredníctvom tejto softvérovej aplikácie alebo služby. Pokiaľ nie je uvedené inak, zmenené podmienky nadobudnú účinnosť okamžite a Vaše ďalšie používanie našich služieb a softvéru potvrdzuje Váš súhlas so zmenami. Ak nesúhlasíte so zmenenými podmienkami, musíte prestať používať naše služby a softvér.

Z času na čas môžeme upraviť a nahradiť vlastnosti a funkcie, ako aj používateľské rozhranie softvéru a služieb. Ak takéto zmeny povedú k podstatnému zhoršeniu funkcií, môžete s okamžitou platnosťou ukončiť licenciu alebo službu a my Vám pomerne uhradíme všetky poplatky, ktoré ste mohli zaplatiť vopred za zostávajúce obdobie služby.

Môžeme pozastaviť Vaše používanie softvéru a služieb, ak sme na základe vlastného, ale primeraného uváženia považovali Vaše používanie softvéru alebo služieb za podvodné, zneužívajúce alebo mimo rozsahu licencie udelenej v tomto dokumente.

Túto licenciu alebo službu môžeme kedykoľvek zrušiť doručením oznámenia alebo ukončením Vášho používania služieb a softvéru.

Nedlhujeme Vám žiadnu kompenzáciu za ukončenie licencie alebo služieb, s výnimkou pomernej náhrady akýchkoľvek poplatkov, ktoré ste mohli zaplatiť vopred za zostávajúce obdobie služby alebo licencie.

Informácie o tom, ako zhromažďujeme, používame, zdieľame alebo inak spracúvame informácie o Vás a vašom používaní našich služieb a softvéru, nájdete v našich zásadách ochrany osobných údajov, ktoré sú prepojené s touto softvérovou aplikáciou alebo službou.

Analýzy údajov sú súhrnné údaje týkajúce sa používania softvéru zákazníkom a jeho používateľmi softvéru, ako aj údaje a informácie uchovávané alebo zozbierané spoločnosťou Sika (alebo v mene spoločnosti Sika) kontrolou, používaním, spracovaním, analýzou, transformáciou alebo ukladaním údajov a informácií (ktoré môžu zahŕňať segmenty údajov o zákazníkoch) na poskytovanie a/alebo zlepšovanie softvéru, alebo iných ponúk produktov alebo služieb spoločnosti Sika. Okrem toho môže softvér obsahovať analytické nástroje s cieľom optimalizovať používanie a skúsenosti zákazníkov so softvérom. Bez ohľadu na čokoľvek v rozpore môže spoločnosť Sika uchovávať a zostavovať analýzy údajov kontrolou, používaním, spracovaním, analýzou, transformáciou a/alebo ukladaním údajov a informácií (ktoré môžu zahŕňať segmenty údajov o zákazníkoch) za účelom poskytovania a/alebo zlepšovania softvéru a ďalších ponúk produktov a služieb spoločnosti Sika. Analýzy údajov by nemali byť považované za dôverné informácie zákazníka.

TÁTO SOFTVÉROVÁ APLIKÁCIA, SLUŽBA A VÝSLEDKY Z JEJ POUŽÍVANIA SÚ URČENÉ LEN NA POUŽITIE PROFESIONÁLNYMI POUŽÍVATEĽMI S ODBORNÝMI ZNALOSŤAMI V OBLASTI ZAMÝŠĽANEJ APLIKÁCIE. POUŽÍVATELIA MUSIA PRED AKÝMKOĽVEK POUŽITÍM NEZÁVISLE OVERIŤ VÝSLEDKY A ZOHĽADNIŤ MIESTO A PODMIENKY APLIKÁCIE, POŽIADAVKY APLIKÁCIE, TECHNICKÝ LIST A LITERATÚRU K PRODUKTU, TECHNICKÝ STAV TECHNIKY, AKO AJ MIESTNE PLATNÉ NORMY A PREDPISY.

Pokiaľ ide o softvérovú aplikáciu, službu a výsledky vyplývajúce z jej používania, SIKA NEPOSKYTUJE ŽIADNE ZÁRUKY PRESNOSTI, SPOĽAHLIVOSTI, ÚPLNOSTI, PREDAJNOSTI ALEBO VHODNOSTI NA AKÝKOĽVEK ÚČEL. Furthermore, the software may incorporate analytics tools in order to optimize customer’s use and experience of the software. Each party irrevocably agrees that the courts of the Dubai International Financial Centre, Dubai, UAE shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or its subject matter or formation.

This App and any ancillary services provided by us are protected by copyright laws and international copyright treaties. The App and any ancillary services are licensed on the terms set out in these Terms, not sold. We remain the sole owner of all right, title, and interest in the App and any ancillary services provided. We may transfer our rights and obligations under these Terms to another organisation.

You may need to register for an account to access some or all of our App. If you register for an account, you must provide accurate account information and promptly update this information if it changes. You also must maintain the security of your account, and you may not share your log-in credentials with anyone.

App Terms

We may make changes to the Terms from time to time. We will notify you of any change to the Terms through the App. Each time you wish to use our App, please check these Terms to ensure that you understand the terms that apply at that time. Unless otherwise noted, the amended Terms will be effective immediately, and your continued use of our App and any ancillary services confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our App and any ancillary services.

We may, from time to time, modify and replace the features and functionalities, as well as the user interface, of the App and any ancillary services. If such changes lead to a material degradation of the functionalities in this App, you may terminate the license or service with immediate effect by ceasing the use of the app and deleting your account and we will, on written request, reimburse any fees on a pro-rata basis that you may have paid in advance for the remaining service period.

We reserve the right to suspend or stop providing all or portions of our App at any time. If we stop providing all or portions of our App for convenience,  we will, on written request, reimburse any fees on a pro-rata basis that you may have paid in advance for the remaining service period.

You also have the right to stop using our App at any time.

Other than as set out above, we are not responsible for any loss or harm related to your inability to access or use our App.

License to Use

Subject to your continued compliance with the Terms and applicable law, we hereby grant you a non-exclusive, limited, non-sublicensable and revocable right for you to install, access and use the App and any ancillary services that we make available to you, and that you license from us, in accordance with these Terms. Any use of data scraping tools on the App is strictly prohibited.

Furthermore, the App and any ancillary services may incorporate analytics tools in order to optimize customer’s use and experience of the App and any ancillary services. Notwithstanding anything to the contrary, we may also retain and compile Data Analyses by reviewing, using, processing, analyzing, transforming, and/or storing data and information (which may include segments of customer data) to provide and/or improve the App and any ancillary services. For clarity, Data Analyses shall not be considered confidential information of the customer. By accepting these Terms, you grant us a non-exclusive, royalty-free, sub-licensable and worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and distribute Data Analyses in accordance with these Terms and applicable data protection laws, without compensation to you, in perpetuity.  Data Analyses means feedback provided by a user in respect of the App and aggregated data related to a customer and its App and any ancillary services users use of the App, as well as data and information retained or compiled by us (or on our behalf) by reviewing, using, processing, analyzing, transforming or storing data and information (which may include segments of customer data) for providing and/or improving the App or Sika's other product or service offerings.

You agree to not: (a) use the App; and (b) create, post, use, share and store user content within the App, in any way that is contrary to public interest, public morality, public order, public and national security, Islamic morality or any prohibited matter according to any laws, regulations, procedures or requirements applicable in the UAE. We may remove any content at any time if we determine that it violates any of these Terms or if we are required to do so by law. 

We may suspend your use of the App and any ancillary services, if we, at our sole but reasonable discretion, have deemed your use of the App and any ancillary services to be fraudulent, abusive or outside the scope of the license granted herein.

The parties acknowledge and agree that a court order shall not be required to give effect to any termination of these Terms in accordance with its terms.  

Data Protection

Warranties

Each party hereby warrants and represents to the other party that it is duly organised, validly existing and in good standing under applicable laws in its jurisdiction of formation and has the requisite power and authority to enter into and perform its obligations under these Terms.

Limitation of Liability

The content on our App is provided for general information only.

THIS APP, SERVICE AND THE RESULTS DERIVED FROM ITS UTILIZATION ARE INTENDED ONLY FOR USE BY PROFESSIONAL USERS WITH EXPERT KNOWLEDGE IN THE AREA OF THE INTENDED APPLICATION. USERS MUST INDEPENDENTLY VERIFY THE RESULTS BEFORE ANY USE AND TAKE INTO ACCOUNT THE SITE AND APPLICATION CONDITIONS, REQUIREMENTS OF THE APPLICATION, PRODUCT DATA SHEET AND PRODUCT LITERATURE, TECHNICAL STATE OF THE ART AS WELL AS LOCAL APPLICABLE STANDARDS AND REGULATIONS.

WITH RESPECT TO THE APP, SERVICE AND RESULTS DERIVED FROM ITS USE, WE MAKE NO WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, MERCHANTABILITY OR FITNESS FOR ANY PURPOSE. THE SOFTWARE APPLICATION AND SERVICE ARE PROVIDED ON AN “AS-IS” BASIS AND WE EXPRESSLY DISCLAIM ANY WARRANTIES WITH RESPECT TO THE SOFTWARE APPLICATION, SERVICE AND RESULTS DERIVED FROM ITS USE.

We do not guarantee that the App is free from any infection by any virus, worm, Trojan horse or other harmful or destructive components. You are responsible for configuring your information technology, computer programmes and platform to access our App. You should use your own virus protection software.

We recommend that you back up any data that is generated or stored in the App and any ancillary services elsewhere regularly, even if the App and any ancillary services provide storage and this functionality is enabled by the applicable App and any ancillary services. Upon termination of the license or service we will delete any data that you may have stored in the App and any ancillary services.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so.

We shall not be liable to you for any consequential, punitive, incidental, exemplary, or special damages (including but not limited to loss of data, loss of business opportunity or loss of profit) arising out of the evaluation or use of the App, ancillary services and results derived from its use.

Our total liability in any matter arising out of or related to the Terms is limited to the aggregate amount that you paid for access to the software and services during the three-month period preceding the event giving rise to the liability. Nothing in these Terms excludes or limits our or your liability where such exclusion or limitation is prohibited under applicable law.

The information, and, in particular, the recommendations relating to the application and end-use of Sika products, are given in good faith based on our current knowledge and experience of the products when properly stored, handled and applied under normal conditions in accordance with our recommendations. In practice, the differences in materials, substrates and actual site conditions are such that no warranty in respect of merchantability or of fitness for a particular purpose, nor any liability arising out of any legal relationship whatsoever, can be inferred either from the results derived from the use of the App application, or from any written recommendations, or from any other advice offered. The user of the product must test the product’s suitability for the intended application and purpose. The proprietary rights of third parties must be observed. All orders are accepted subject to our current terms of sale and delivery. Users must always refer to the most recent issue of the local Product Data Sheet for the product concerned, copies of which will be supplied on request.

Miscellaneous

These Terms and the documents referred to or incorporated in them constitute the entire agreement between us and you relating to the subject matter of these Terms and supersede and extinguish any prior drafts, agreements, undertakings, representations, warranties and arrangements of any nature whatsoever, whether or not in writing, between us and you in relation to the subject matter of these Terms.

If any provision of these Terms is held to be invalid or unenforceable by any judicial or other competent authority, all other provisions of these Terms will remain in full force and effect and will not in any way be impaired. If any provision of these Terms is held to be invalid or unenforceable but would be valid or enforceable if some parts of the provision were deleted, the provision in question will apply with the minimum modifications necessary to make it valid and enforceable.

Interpretation

These Terms will be written and construed in the English language, and all questions of interpretation of these Terms shall be resolved by reference to the same as written in English. If the Terms are translated into any other foreign language, the English version will prevail for all purposes, including any disputes or claims that may be resolved by any legal proceeding.   

Use of the singular includes the plural (and vice versa). Persons includes individuals, corporations, and unincorporated bodies or associations that are recognised at law (whether or not having a separate legal personality and irrespective of their jurisdiction or origin, incorporation or residence). A party means a party to these Terms and includes its successors and permitted assigns. Time shall be construed by reference to the Gregorian calendar.  

If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

In practice, the differences in materials, substrates and actual site conditions are such that no warranty in respect of merchantability or of fitness for a particular purpose, nor any liability arising out of any legal relationship whatsoever, can be inferred either from the results derived from the use of the software application, or from any written recommendations, or from any other advice offered.
