Managing risks related to business conduct

As a global company operating across diverse markets and value chains, Sika recognizes that risks related to inappropriate business conduct can arise at different stages of the value chain. By embedding its core values into every aspect of global operations and fostering a culture that recognizes ethical behavior and transparency, Sika safeguards not only its own organization, but also its partners and stakeholders.

Compliance Management System

Sika operates a Group-wide Compliance Management System built on three core pillars: Prevent, Detect, and Respond & Adjust. This system reflects a holistic approach to compliance, engaging the entire organization across all hierarchies, functions, and geographical regions.

Key elements include a global Code of Conduct and supporting policies; risk-based compliance audits; targeted training and awareness initiatives; clear reporting channels and investigation processes. This holistic approach supports consistent standards and continuous improvement.

Speaking up

Everyone may face challenges, tough choices, and ethical dilemmas in their daily work life, whether as a Sika employee, customer, business partner, or any other stakeholder. Sika promotes transparency and a culture where people feel comfortable speaking up, knowing it takes courage to do so. That's why Sika offers several ways to report suspected misconduct. Concerns can be reported through:

Sika employees can talk to their line manager, local legal or compliance representatives, as Sika supports an open-door policy. External stakeholders can contact a local point of contact or local Sika management.

The Sika Trust Line (www.sikatrustline.com), is a secure and confidential web-based whistleblowing system that allows for anonymous reporting (unless explicitly prohibited by local laws and regulations. Sika encourages reporters to disclose their identity, if possible, as this helps with more effective investigations. All cases are handled with strict confidentiality.

Via email to compliance@ch.sika.com or by post. In certain regions, independent points of contact – such as workers’ councils, professional ombudspeople, or external legal counsel – are also available, in line with local legal requirements.

All reports received through the Sika Trust Line and email or mail to Corporate Compliance are handled by the Corporate Compliance team at Sika's headquarters in Switzerland. Reports submitted to local contact points (e.g., supervisor, HR, management) are escalated to Corporate Compliance according to the internal escalation framework. Sika has a clear process to manage these reports and ensures that the people handling them are properly trained and maintain strict confidentiality. Investigations are managed with fairness and independently.

Preventing corruption and unfair practices

Sika applies a zero-tolerance approach to corruption, bribery, and unfair competition. Clear policies, training, and controls help prevent improper conduct, including inappropriate gifts, conflicts of interest, or anti-competitive behavior.

Employees in risk-exposed roles receive targeted training, and General Managers are required to escalate any suspected violations promptly. Fair competition and ethical market behavior are non-negotiable principles across all business areas.

Ethical leadership and training

Ethical leadership is essential to maintaining a culture of integrity. Senior Managers regularly reaffirm their commitment to Sika’s Values and Principles and to acting as role models.

Compliance and integrity topics are embedded in Leadership development programs; General Manager training; Role-specific compliance training; E-learning and interactive workshops.

These initiatives help ensure that ethical decision-making is understood, practiced, and reinforced across the organization.

Third party due diligence

Sika applies a risk-based approach to third-party due diligence and monitoring, particularly in areas such as global trade, sanctions, and business partner integrity. This approach supports compliance with evolving regulatory requirements and helps manage risks related to suppliers, intermediaries, and other partners.
